The UBO register: who must file and when

The UBO register records a company's ultimate beneficial owners, the real people who own or control it, and most UAE companies must identify, file and keep this current. It is a transparency requirement separate from the shareholder register, and failing to maintain it carries penalties.

What is a beneficial owner?

A beneficial owner is the natural person who ultimately owns or controls a company, usually defined by holding a threshold percentage of shares or voting rights, or by exercising control through other means. The point is to look through corporate shareholders to the real individuals behind them. A company with a simple ownership structure may have one or two beneficial owners; a layered structure needs tracing through to the people at the top, which is where care is needed.

Which companies must file UBO information?

Most companies licensed in the UAE, on the mainland and in many free zones, must identify their beneficial owners and file the information with the relevant registrar, with limited exceptions for certain government-owned entities and some free zones that operate their own equivalent regimes. In practice, if you hold a UAE licence you should assume the obligation applies and confirm the specifics, rather than assuming you are exempt because the structure is simple.

What does the UBO filing include?

The filing typically records each beneficial owner name, nationality, date and place of birth, address, identification details and the basis and date on which they became a beneficial owner, alongside a register of nominee directors where relevant. The information must be accurate and kept up to date, so a change in ownership triggers an update. Maintaining it is an ongoing duty, not a one-time submission at incorporation.

What are the penalties for not filing?

Failing to create and maintain an accurate UBO register, or to file and update it with the registrar, carries administrative penalties, and the obligation is enforced. Because the duty continues through the life of the company, a register that was correct at setup but never updated after an ownership change is itself a breach. We set the register up correctly and keep it current for the companies we manage so it never lapses.
