A UAE offshore company is a non-resident vehicle used mainly to hold assets, own property in permitted areas, and conduct international business, rather than to trade inside the UAE. It is not the same as a free zone company and does not grant residence visas. Understanding what it can and cannot do is the key to choosing it for the right reason.
What is a UAE offshore company?
An offshore company is registered with a UAE offshore registrar, such as JAFZA Offshore or RAK ICC, as a non-resident entity. It gives full foreign ownership and a UAE registration, and is commonly used to hold shares, intellectual property, or property in approved areas, and to invoice international clients. It is a holding and international-trade vehicle, which is a different purpose from an operating free zone or mainland company.
What can an offshore company not do?
An offshore company generally cannot carry on business within the UAE market, cannot lease local operating premises in the ordinary way, and does not by itself grant residence visas to its owners or staff. If you need to trade inside the UAE, employ a team locally, or obtain residence, you need a free zone or mainland company instead, sometimes alongside the offshore vehicle in a holding structure.
Who should use an offshore company?
It suits owners who want a clean holding vehicle for international assets, property in permitted areas, or group structuring, and who do not need UAE residence or a local trading licence from it. It is often paired with an operating company: the offshore entity holds, the onshore entity trades. Choosing it as a cheap substitute for a trading licence is the common mistake we steer clients away from.
How does it compare with a free zone company?
A free zone company can trade internationally, lease premises, employ staff and sponsor residence visas; an offshore company is a non-resident holding and international vehicle without those operating rights. For most founders who want to run a business and live in the UAE, a free zone or mainland company is the right tool, with an offshore entity added only where a holding layer is genuinely useful.
