UAE corporate tax groups: grouping, exemptions and the 2026 deadline

UAE corporate tax groups let you treat several companies you own as a single taxpayer, so it is one problem, not many. Corporate tax is 9 percent on taxable income above AED 375,000. Tax grouping, the participation exemption and Small Business Relief, extended to 31 December 2029, decide the final bill.

What counts as a group for UAE corporate tax?

A tax group is a set of UAE resident companies where a parent owns at least 95 percent of the shares and voting rights in each member, directly or indirectly, and all members share the same financial year and accounting standards. When they form a tax group under the Federal Tax Authority rules, the parent files one return for the whole group, the group is taxed on its aggregated profit, and transactions between members are generally disregarded. For a founder with a holding company over several trading entities, this is usually the efficient default.

How does a tax group actually save tax?

Two ways. First, losses in one company offset profits in another in the same period, so the group pays tax on its net result rather than on each winner while each loser carries its loss forward alone. Second, internal sales, management fees and intra group financing are disregarded, which removes both the tax and the transfer pricing burden on those flows. For a group where one entity invests while another earns, or where a services company bills the trading company, the saving is real and recurring.

What is Small Business Relief and how long does it run?

Small Business Relief lets a business with revenue at or below AED 3 million elect to be treated as having no taxable income, which removes the tax and much of the compliance. The threshold is revenue based, so it is different from the AED 375,000 income threshold that sets the 9 percent rate. The detail most guides still get wrong is the end date. The relief was first capped at tax periods ending on or before 31 December 2026, but Ministerial Decision No. 131 of 2026 extended it to periods ending on or before 31 December 2029, per the Federal Tax Authority position. A group approaching the AED 3 million ceiling still needs a post relief plan, because once revenue crosses the cap the election is gone.

Can a free zone company in my group still pay zero percent?

Only if it genuinely qualifies. A Qualifying Free Zone Person can pay 0 percent on qualifying income, but that status depends on real substance in the zone, qualifying activities, and staying within the rules on non qualifying revenue. A free zone address inside a group does not make its income exempt by itself, and mixing a QFZP into a tax group needs care because the two regimes interact. We map which entities should sit in the tax group and which should stand alone as a QFZP, rather than assuming one answer for all.

What should a multi entity founder do first?

Register every entity for corporate tax, because registration and filing are obligations in their own right and late registration carries a penalty even where no tax is due. Then decide the group architecture deliberately: which companies form the tax group, which claim the participation exemption, which sit outside as a QFZP, and how internal pricing is documented. That decision is worth more than any single deduction, and it is far cheaper to get right at setup than to unwind after a filing.
